Changfei Optical Fiber & Cable (06869) plans to discount about 14.93% of the placement, which will net about HK$2,229 billion in total 70 million shares of the placement

Zhitong Finance App News, Changfei Optical Fiber Cable (06869) issued an announcement. The Company and the placement agent signed a placement agreement on December 9, 2025 (after the transaction period). According to the terms set out in the placement agreement and subject to the conditions set out in the placement agreement, the Company agreed to issue the placement shares at HK$32.26 per share at the placement price, and the placement agent agreed to act as an agent of the Company to do everything possible to induce the undertaker to subscribe for a total of 70 million shares at the placement price of HK$32.26 per share.

After all of the placed shares are issued, they will each account for about 19.91% of the total number of H shares issued by the Company and about 9.24% of the total issued share capital, and approximately 16.60% of the total number of issued H shares expanded by the Company through the issuance of placed shares and about 8.46% of the total issued share capital expanded by issuing placed shares, respectively. The placement price was discounted by approximately 14.93% from the closing price of HK$37.92 per H share as reported on December 9, 2025 (the date of the placement agreement).

Assuming that all of the shares to be placed, the total amount of proceeds from the placement is estimated to be HK$2,258 billion, and the total net proceeds from the placement (after deducting fees, commissions and expenses) is estimated to be approximately HK$2,229 million. The net amount (after deducting fees, commissions and expenses) of each placed share after the placement is completed is approximately HK$31.85. The Company intends to use the net proceeds for the following purposes: (1) approximately 80% will be used to develop the Company's overseas business; and (2) approximately 20% will be used as the Group's general working capital.
