Dawn Co., Ltd. (002838.SZ) plans to acquire 80% of the EPDM rubber production plant Ningbo Aisekai

(002838.SZ) announced that the board of directors of the company reviewed and passed the “Proposal on the Acquisition of 80% of Ningbo Aisikai Synthetic Rubber Co., Ltd.” The company used its own capital of 516 million yuan to acquire 80% of the shares of Ningbo Aishikai Synthetic Rubber Co., Ltd. (“Ningbo Aiskai”) held by Iscai New Investment Hong Kong Co., Ltd. (“SK Hong Kong”). After the acquisition is completed, Ningbo Iskai will become a holding subsidiary of the company and will be included in the scope of the company's consolidated statements. On the same day, the company and SK Hong Kong signed the “Equity Transfer Agreement between Aishikai New Investment Hong Kong Co., Ltd. and Shandong Daoen Polymer Materials Co., Ltd. in relation to Ningbo Aishikai Synthetic Rubber Co., Ltd.”

In order to ensure the stability and sustainability of the production and operation of Ningbo Aisekai after the delivery of the target shares, patents, know-how and trademarks related to the target company's products held by SK Geo Centric Co., Ltd. and/or SK Innovation Co., Ltd. as the counterparty SK Hong Kong are to be transferred to the company, and an intellectual property transfer agreement is signed before the change registration date agreed in the “Equity Transfer Agreement”. As of June 30, 2025, the assessed value of the aforementioned intellectual property was 64.7 million yuan, so the intellectual property transfer price did not exceed 64.7 million yuan.

According to the announcement, Ningbo Iskai is an EPDM rubber manufacturing plant. EPDM rubber is a copolymer of ethylene, propylene, and a small amount of unconjugated diolefin tertiary monomer, represented by EPDM. After the transaction is completed, Ningbo Iskai will become a holding subsidiary of the company, which will help the company further improve its industrial layout and expand application scenarios in the field of elastomers, which is of positive significance to the company's future development.
