Xineng Low Carbon (00145) successfully placed a total of 964.581 million shares in accordance with compensation arrangements

According to the Zhitong Finance App, Xineng Low Carbon (00145) announced that at 5:00 p.m. on December 12, 2025 (Friday) (the final placement date), a total of 96.4581 million shares were successfully placed at a price of HK$0.153 (equivalent to the subscription price) per share to no less than 964.581 million shares under the compensation arrangement (equivalent to about 79.02% of the total number of shares available for subscription under the share offering). As a result, there is no net income to be distributed to non-acting shareholders and excluded shareholders under the compensation arrangement. All undertakers and their ultimate beneficial owners (if any) are independent third parties to the knowledge, knowledge and conviction of the directors after making all reasonable inquiries.

According to the above acceptance results and the results of the placement matters, the total number of shares to be allotted and issued is 122 million shares, which is equivalent to 100% of the total number of 122 million shares to be subscribed under the share offering.
