(“Red Cotton Science Innovation”), agreeing that He Zhenya will transfer 55,1547 million shares of the company's tradable shares (9% of the company's current total share capital) under unlimited sales conditions to Red Cotton Science and Technology Innovation, with a total transfer price of 229 million yuan.

After the transfer of the agreement was completed, the shareholding ratio of Red Cotton Science and Technology Innovation was 9%. He Zhenya, the former controlling shareholder and actual controller, became the second largest shareholder, with a shareholding ratio of 1.58%. The controlling shareholder of the company will be changed from He Zhenya to Red Cotton Science and Innovation, and the actual controller of the company will be changed from Ho Chun-ya to Chen Zhimao. Trading of the company's shares will resume with the opening of the market on July 13, 2026.
