Ctrip Group-S (09961): Received an anti-monopoly investigation and administrative penalty decision

Zhitong Finance App News, Ctrip Group-S (09961) issued an announcement. On July 25, 2026, the company received an administrative penalty decision from the State Administration of Market Supervision and Administration (General Administration of Municipal Supervision) of the People's Republic of China. The decision was made after an investigation by the Municipal Administration of Supervision in accordance with the Anti-Monopoly Law of the People's Republic of China (the company issued a notice on January 14, 2026). The General Administration of Municipal Supervision determined that the company violated section 22 (4) and (5) of the Anti-Monopoly Law, which prohibits operators with dominant market positions from limiting counterparties through exclusive arrangements without proper reason and attaching unreasonable transaction conditions during transactions.

According to section 57 and section 59 of the Anti-Monopoly Law, the General Administration of Municipal Supervision: (i) ordered the company to stop illegal acts and fully refund the mandatory deduction of the hotel operator's order reserve of RMB 122 million (US$18 million); (ii) confiscate the company's illegal proceeds of RMB 1,658 million (US$244.4 million); and (iii) imposed a fine of 7.5% of the company's sales in China in 2025, amounting to RMB 3,521 million (US$518.9 million).

The company sincerely accepts the decision and will take corrective measures in accordance with applicable laws and regulations to implement the requirements of the decision. The company will improve long-term governance mechanisms and strive to promote the sustainable development of the tourism industry.
