According to Zhitong Finance App, China Carbon Neutrality (01372) announced that on July 27, 2026, the Group and the shareholders of Shanghai Mingxiao Information Technology Co., Ltd. (the target company), Mr. Yang Hua, Mr. Peng Xinghui, and Nanjing Yunzhijun Investment Management Center (limited partnership) (collectively known as “Party B”) formally signed a letter of intent (purchase intention). According to the letter of intent to acquire, the Group intends to acquire more than 51% of the shares of the target company held by Party B and other shareholders to achieve control of the target company (acquisition matter).
Shanghai Mingxiao Information Technology is led by academicians and experts from the Chinese Academy of Sciences in the fields of trusted data security, artificial intelligence, big data, and vehicle-road collaboration. It focuses on technologies such as digital intelligence in transportation, next-generation informatization of transportation infrastructure (safety, credit innovation, digital intelligence), transportation and energy industry Internet, and core edge computing.
In the rail transit sector, the target company's business covers smart passenger service systems (the industry's largest market share in the segment), smart train operation and maintenance safety systems, and smart new energy systems. The successfully implemented project cases cover 47 cities across the country (including North, Guangzhou and Shenzhen), Hong Kong, and overseas countries such as Israel and Thailand. It has implemented 173 urban rail transit lines, serving about 2,200 stations, 2,200 trains and 13,000+ vehicles, forming a large-scale delivery capacity covering vehicles, stations, line networks, operation and localized maintenance services.
The target company takes the “high reliability, high safety, and high complexity” scenario of urban rail transit as a starting point, and has domestic AI infrastructure and smart operation and maintenance platform capabilities that can be replicated across industries. The bottom layer is composed of “domestic computing power chips, edge intelligence hardware, full-stack algorithm libraries, PHM predictive maintenance, and large vertical domain models”; its upper layer forms a closed loop of multi-industry applications through “digital twins, industrial intelligence, data flywheels, source network load storage, vehicle cloud, low-altitude economy, and data security.” It is being upgraded from a rail transit specialist company to an “AInative digital platform company for smart transportation, energy, and industrial scenarios.”
The target company has accumulated a series of professional qualifications and honors, participated in the formulation of national industry standards in the field of urban rail transit and next-generation smart trains, obtained CMA/CNAS certification from the State Grid PAL agency, IRIS international railway industry standard certification, international safety grade SIL2 certification, CMMI-5 software maturity model highest level certification, etc.; it was recognized as a Shanghai Enterprise Technology Center/National High-tech Enterprise/National Specialized and New “Little Giant” Enterprise/Double Soft Enterprise, etc.
