Baiwang Co., Ltd. (06657) proposes to appoint Zhu Liping as the company's executive director

After considering the recommendations of the Board Nomination Committee, the board of directors has resolved to recommend the appointment of Ms. Zhu Liping as the company's executive director. The proposed appointment of Ms. Zhu Liping will not take effect until the shareholders approve it by means of an ordinary resolution at the Extraordinary General Meeting of Shareholders to be held by the Company, and will take effect from the date of approval by the Extraordinary General Meeting of Shareholders.

Dr. Song Hua intends to resign as an independent non-executive director of the company due to other personal and business matters requiring more time and effort. The resignation will take effect from the date the new independent non-executive director is appointed.

After considering the recommendations of the Board Nomination Committee, the board of directors has resolved to recommend the appointment of Mr. Fu Ming as an independent non-executive director of the company. The proposed appointment of Mr. Fu Ming is subject to approval by shareholders by means of an ordinary resolution at the Extraordinary General Meeting of Shareholders, and will take effect from the date of approval by the Extraordinary General Meeting of Shareholders.
