According to Zhitong Finance App, BAIC Motor (01958) announced that on August 7, 2026 (after the transaction period), the company, Mercedes-Benz China and Mercedes-Benz Leasing signed an agreement to reduce the registered capital. Based on this, the company and Mercedes-Benz China agreed to reduce their investment in Mercedes-Benz Leasing according to their respective equity ratios, reducing the registered capital of Mercedes-Benz Leasing by RMB 4 billion. Among them, Mercedes-Benz Leasing should refund RMB 2.6 billion to Mercedes-Benz China in cash, accounting for 65% of the reduced registered capital, and return RMB 1.4 billion to the company in cash, accounting for 35% of the reduced registered capital, thus reducing the registered capital of Mercedes-Benz Leasing from approximately RMB 5,097.5 billion to RMB 1,097.5 billion.

After the reduction in registered capital is completed, the company's investment in Mercedes-Benz Leasing will be reduced from approximately RMB 1,784 million to RMB 384 million, while the company's share ratio in Mercedes-Benz Leasing will remain unchanged, accounting for 35% of the total registered capital of Mercedes-Benz Leasing.

According to the announcement, the purpose of reducing registered capital is to optimize the capital structure of Mercedes-Benz leasing and improve capital efficiency. It is expected that after the reduction of registered capital is completed, capital will be released and given back to Mercedes-Benz Leasing's shareholders, which can enhance the Group's overall cash flow. The Board believes that reducing the registered capital is in the business interests of the Group and is in line with the long-term goal of maintaining an efficient capital structure in the Group's investment portfolio. These benefits will jointly promote the Group's continued growth and stable development in a competitive market environment.
