According to Zhitong Finance App News, Cathay Pacific Junan International (01788) and the offender Cathay Haitong Financial Holdings Limited jointly announced that on July 22, 2026, the offeror had requested the board of directors (subject to the fulfillment of prerequisites) to submit proposals to the plan shareholders. If approved and implemented, the proposal would cause the company to be privatized through planning arrangements in accordance with section 673 of the Companies Ordinance and the cancellation of the stock's listing status on the Hong Kong Stock Exchange.

The cancellation price of each planned share is HK$3 (minus dividend adjustments (if any), which represents a 44.2% premium per share over the closing price of HK$2.08 per share reported on the Hong Kong Stock Exchange on the last trading day. The company has applied to the Hong Kong Stock Exchange to resume trading of shares starting at 9:00 a.m. on August 10, 2026.

As of the date of this joint announcement, (1) approximately 9.53 billion shares have been issued, of which approximately 3.285 billion shares (including 800 million borrowed shares) will constitute planned shares, accounting for approximately 34.47% of the company's issued share capital; and (2) 4.85 million unexercised share options. Based on the cancellation price of HK$3.00 per planned share and full acceptance of the share option offer, the implementation of the proposal will require approximately HK$9.861 billion in cash. The offender, Cathay Pacific Haitong, and those acting in concert with the offeror held approximately 6.313.6 billion shares, accounting for about 66.25% of the company's issued share capital.

According to reports, the sponsor is a wholly-owned subsidiary of Cathay Pacific Haitong (02611). The main business of the Cathay Pacific Haitong Group is wealth management, investment banking, institutions and transactions, investment management, and financial leasing. Cathay Pacific Haitong does not have any controlling shareholders.
