We'd be surprised if Heritage Financial Corporation (NASDAQ:HFWA) shareholders haven't noticed that the Independent Director, Jeffrey Lyon, recently sold US$300k worth of stock at US$30.00 per share. The eyebrow raising move amounted to a reduction of 20% in their holding.
The CEO, President & Director Bryan McDonald made the biggest insider purchase in the last 12 months. That single transaction was for US$426k worth of shares at a price of US$22.32 each. Although we like to see insider buying, we note that this large purchase was at significantly below the recent price of US$29.65. Because the shares were purchased at a lower price, this particular buy doesn't tell us much about how insiders feel about the current share price.
In total, Heritage Financial insiders sold more than they bought over the last year. The chart below shows insider transactions (by companies and individuals) over the last year. Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. I reckon it's a good sign if insiders own a significant number of shares in the company. It appears that Heritage Financial insiders own 1.6% of the company, worth about US$19m. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.
Insiders sold stock recently, but they haven't been buying. Despite some insider buying, the longer term picture doesn't make us feel much more positive. But since Heritage Financial is profitable and growing, we're not too worried by this. While insiders do own shares, they don't own a heap, and they have been selling. We'd practice some caution before buying! In addition to knowing about insider transactions going on, it's beneficial to identify the risks facing Heritage Financial.
