Wisdom Pacific (08147) plans to issue convertible bonds with a total principal amount of HK$15 million

According to the Zhitong Finance App, Huisi Pacific (08147) issued an announcement. On August 11, 2026, the company signed a subscription agreement with the subscriber Baiwei Venture Capital Co., Ltd., relating to the issuance of convertible bonds with a total principal amount of HK$15 million. The convertible bonds will issue a total of 41.445 million shares after all conversion according to the initial exchange price of HK$0.362 per share (subject to adjustment), which is equivalent to about 20.00% of the company's existing issued share capital and approximately 16.67% of the company's issued share capital after expanding the issued shares. The redeemed shares will be allotted and issued in accordance with a general mandate.

The net proceeds from the subscription will be approximately HK$15 million. The Group intends to use the net proceeds from the issuance of convertible bonds as general working capital, including settlement of the Group's trade accounts payable, repayment of other loans, payment of legal and professional expenses, staff costs, and other operating and general administrative expenses.
