Samsonite (01910) plans to spend US$178.5 million to acquire 85% interest in Beis and increase the North American lifestyle travel circuit

Zhitong Finance App News, Samsonite (01910) announced that on August 12, 2026, Samsonite LLC (i.e., the buyer), a wholly-owned subsidiary of the company, entered into a membership rights purchase agreement with Beis and the seller on the acquisition. Based on this, the buyer has agreed to purchase the acquired rights (85% of Beis's external members' rights) at a cash cost of US$178.5 million, subject to certain adjustments and in accordance with the terms and conditions set out in the agreement. Subject to the terms of the acquisition being met or exempted, it is currently anticipated that the acquisition will be completed in the fourth quarter of 2026.

According to the terms of the revised and restated operating agreement to be concluded at the time of transaction, at any time after the end of the transaction, one of the sellers (i.e. Home Beis), which retains about half of Beis's existing member interests, has the right to exercise a put option to require Beis to buy rollover units from Home Beis (15% of Beis's external members' rights), and Beis is also entitled to exercise a subscription option to require Home Beis to sell rollover units to Beis.

At the time of the transaction, the buyer and Home Beis will own 85% and 15% of Beis respectively, and Beis will also become a subsidiary of the company.

According to reports, Beis owns BÉIS, LLC, a leading lifestyle and travel brand founded by actor and entrepreneur Shay Mitchell in 2018 and nurtured by the Beach House Group.

According to the announcement, the acquisition will expand the Group's travel and lifestyle product portfolio while strengthening its digital capabilities and consolidating its growth trend in North America. Following the transaction, BÉIS will continue to operate as an independent brand within the Group's brand portfolio and will continue to be led by BÉIS CEO Adeela Hussain Johnson and BÉIS's existing excellent management team. Shay Mitchell will continue to lead the brand's long-term creative and product development direction as the founder and creative and design director after the transaction.
