Tongyuankang Pharmaceutical-B (02410): Jiang Mingyu Resigns as Non-Executive Director

Dr. Jiang Mingyu has proposed to resign as a non-executive director to spend more time on other commercial matters, effective from August 17, 2026. While resigning as a non-executive director, he will also cease to act as an authorized representative of the company under section 3.05 of the Hong Kong Stock Exchange Limited Securities Listing Rules.

Dr. Wu Yusheng has been appointed as an authorized representative under section 3.05 of the Listing Rules with effect from August 17, 2026.

The terms of several directors are about to expire. The board of directors has resolved to recommend re-election of the following persons as directors for a term of 3 years (or until the end of the term of the second board of directors), effective from the date the proposed candidates are elected at the company's upcoming extraordinary shareholders' meeting, but only after the shareholders pass an ordinary resolution at the extraordinary shareholders' meeting. The candidates proposed for re-election at the Extraordinary General Meeting of Shareholders will be: (i) Dr. Wu Yusheng as Executive Director; (ii) Dr. Li Jun, Dr. Gu Hong and Mr. He Chao as non-executive directors; and (iii) Dr. Leng Yuting, Dr. Xu Wenqing, and Dr. Shen Xiuhua as independent non-executive directors.
