According to Zhitong Finance App, Shanghai Fudan (01385) announced that on August 17, 2026, the company signed a shareholder agreement with Zhuoyuan Ruixin, Zhuoyuan Yuxin, Mr. Zhou Jun and Mr. Wang Yanzheng. The contracting parties agreed to establish a joint venture company, Shanghai Zhuoyuan Hongxin Semiconductor, in Shanghai, China.

According to the shareholders' agreement, the registered capital of the joint venture is RMB 70 million, of which: (i) the Company will pledge an investment of RMB 17.5 million; (ii) Zhuoyuan Ruixin will pledge an investment of RMB 19.21 million; (iii) Zhuoyuan Yuxin will pledge an investment of RMB 13.3 million; (iv) Mr. Zhou Jun will pledge an investment of RMB 13.33 million; and (v) Mr. Wang Yanzheng will pledge an investment of RMB 6.66 million.

The Company will invest in the joint venture with intangible assets, that is, RMB 17.55 million in the price of intangible assets such as patents.

The company's promotion of independent operation of the aging testing equipment business conforms to the rules of industry development, which helps the company focus on its main business and reduce financial indicators such as operating costs. At the same time, the independent operation of the aging testing equipment business helps it enhance its supply chain and cultivate and expand its industrial competitiveness. The company can also convert existing investments into joint venture equity to avoid idle assets.
