Don't Ignore The Insider Selling In Santova

Listen to the news

Anyone interested in Santova Limited (JSE:SNV) should probably be aware that the Executive Director, Anthony van Zyl, recently divested R4.0m worth of shares in the company, at an average price of R8.10 each. However, the silver lining is that the sale only reduced their total holding by 3.5%, so we're hesitant to read anything much into it, on its own.

Santova Insider Transactions Over The Last Year

In fact, the recent sale by Anthony van Zyl was the biggest sale of Santova shares made by an insider individual in the last twelve months, according to our records. That means that even when the share price was slightly below the current price of R8.11, an insider wanted to cash in some shares. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. It is worth noting that this sale was only 3.5% of Anthony van Zyl's holding.

In total, Santova insiders sold more than they bought over the last year. The chart below shows insider transactions (by companies and individuals) over the last year. If you click on the chart, you can see all the individual transactions, including the share price, individual, and the date!

Does Santova Boast High Insider Ownership?

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. I reckon it's a good sign if insiders own a significant number of shares in the company. Santova insiders own about R209m worth of shares. That equates to 20% of the company. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.

So What Do The Santova Insider Transactions Indicate?

The stark truth for Santova is that there has been more insider selling than insider buying in the last three months. Despite some insider buying, the longer term picture doesn't make us feel much more positive. The company boasts high insider ownership, but we're a little hesitant, given the history of share sales. While it's good to be aware of what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision.
