Listen to the news

We'd be surprised if Xos, Inc. (NASDAQ:XOS) shareholders haven't noticed that the Independent Director, Stuart Bernstein, recently sold US$126k worth of stock at US$4.19 per share. The eyebrow raising move amounted to a reduction of 35% in their holding.

Xos Insider Transactions Over The Last Year

In fact, the recent sale by Stuart Bernstein was the biggest sale of Xos shares made by an insider individual in the last twelve months, according to our records. While insider selling is a negative, to us, it is more negative if the shares are sold at a lower price. The silver lining is that this sell-down took place above the latest price (US$3.50). So it may not shed much light on insider confidence at current levels.

Insiders in Xos didn't buy any shares in the last year. You can see the insider transactions (by companies and individuals) over the last year depicted in the chart below. If you click on the chart, you can see all the individual transactions, including the share price, individual, and the date!

Insider Ownership

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. We usually like to see fairly high levels of insider ownership. Xos insiders own about US$14m worth of shares. That equates to 29% of the company. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.

So What Do The Xos Insider Transactions Indicate?

Insiders sold Xos shares recently, but they didn't buy any. Looking to the last twelve months, our data doesn't show any insider buying. While insiders do own shares, they don't own a heap, and they have been selling. So we'd only buy after careful consideration. In addition to knowing about insider transactions going on, it's beneficial to identify the risks facing Xos.
