Insiders At Goodwin Sold UK£19m In Stock, Alluding To Potential Weakness

Listen to the news

In the last year, many Goodwin PLC (LON:GDWN) insiders sold a substantial stake in the company which may have sparked shareholders' attention. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

While insider transactions are not the most important thing when it comes to long-term investing, we do think it is perfectly logical to keep tabs on what insiders are doing.

The Last 12 Months Of Insider Transactions At Goodwin

In the last twelve months, the biggest single sale by an insider was when the MD of Mechanical Engineering Division & Executive Director, Matthew Goodwin, sold UK£4.4m worth of shares at a price of UK£190 per share. So we know that an insider sold shares at around the present share price of UK£187. While insider selling is a negative, to us, it is more negative if the shares are sold at a lower price. Given that the sale took place at around current prices, it makes us a little cautious but is hardly a major concern.

Goodwin insiders didn't buy any shares over the last year. The chart below shows insider transactions (by companies and individuals) over the last year. If you click on the chart, you can see all the individual transactions, including the share price, individual, and the date!

Insider Ownership

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Goodwin insiders own 9.6% of the company, currently worth about UK£135m based on the recent share price. This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.
