A subsidiary of Yadi Holdings (01585) plans to acquire all shares of Golden Arrow Technology Group Co., Ltd. for 1.02 billion yuan

Zhitong Finance App News, Yadi Holdings (01585) issued an announcement. On August 25, 2026 (after the trading period), the buyer, Wuxi Yadi Consulting Co., Ltd. (an indirect wholly-owned subsidiary of the Company) and the seller, Mr. Zhu Chaofeng, signed the agreement on the acquisition. After completion, the target company Golden Arrow Technology Group Co., Ltd. will become an indirect wholly-owned subsidiary of the Company. According to the agreement, the seller conditionally agreed to the sale and the buyer conditionally agreed to purchase sales rights (equivalent to 100% of the target company's shares). The total cost of the acquisition is RMB 1.02 billion, which will be settled in cash by the Group and disbursed from the Group's internal resources.

Golden Arrow Technology Group Co., Ltd., founded in Wuxi, China, is mainly engaged in investment activities, group-level coordination support, production site management and leasing in Jiangsu.

The acquisition is an important step to help the Group implement strategies to further strengthen its market position and expand its business footprint in the electric two-wheeler market and commercial segment (including distribution services). The directors believe that the acquisition will enable the Group to seize the opportunities brought by the continuous integration of the industry, expand its customer base and application scenarios, and achieve potential synergy benefits by expanding scale, improving operational efficiency and increasing market coverage. The acquisition is also in line with the Group's strategy to develop diversified, multi-brands and multi-product portfolios.
