According to the Zhitong Finance App, Tianji Holdings (01520) issued an announcement. On August 28, 2026, the company signed an investment cooperation agreement (investment agreement) with Cosco Technology (Hong Kong) Co., Ltd. (Cosco Technology). According to the investment agreement, the company and Gauss Technology plan to establish a limited liability company (joint venture) in Hong Kong to expand business in the field of artificial intelligence and continuous learning, mainly based on existing IP content and actual operating scenarios, to implement artificial intelligence application layer strategies as user-oriented products, and provide users and IP creators with artificial intelligence system software service functions (this cooperation) to quickly build business scenarios through Paas, SaaS, etc.

According to the terms of the investment agreement, the company and Gauss Technology will register and establish a joint venture as soon as possible. Among them, the company accounts for 51% of the joint venture's shares, while Gauss Technology accounts for 49% of the joint venture's shares.

The Group has been actively seeking to expand its existing business and explore the application of artificial intelligence and related technologies to IP content operations and related businesses based on existing IP digital ecosystems and real operating scenarios. This is the first step for the Group to implement the AI application layer strategy into user-oriented products based on the existing IP digital ecosystem business. The joint venture proposed a product direction for continuous learning smart devices. Technical research results related to “basic abilities such as lasting memory, tool execution, and ability to check work evidence” will be launched for trial as soon as the joint venture registration is completed.

The Board of Directors believes that the establishment of a joint venture will enable the Group to further expand its business operations using artificial intelligence technology in the IP field and bring returns to the Company's shareholders.
