Mathematical Technology Group (02350) plans to acquire 100% of Qingzhan International Artificial Intelligence Co., Ltd.'s shares for HK$20 million to deepen its business layout in the AI field

According to the Zhitong Finance App, Mathematical Technology Group (02350) announced that on August 28, 2026, Digital AI Holdings Limited, a wholly-owned subsidiary of the company, plans to acquire 100% of the shares of Qingzhan International Artificial Intelligence Co., Ltd., at an initial cost of HK$20 million (subject to adjustment), which will be paid by the company by issuing 305.343.5 million compensation shares, at a price of HK$0.655 per share.

Target Group is mainly engaged in AI-based education business and provides AI solutions covering data processing, AI agent development and hardware development. It is carried out through five core business elements, namely (i) AI talent development services, including providing AI-focused leadership courses and engineering certification, and operating the Tsinghua-UNESCO Artificial Intelligence Training Camp and Education Experimental Center for entrepreneurs and university students; (ii) developing AI agents, including industrial AI training intelligence, which can intelligently analyze and comprehensively visualize enterprise operating data to provide immediate executable business Insightful AI executive decision-making tools, and smart office solutions that enable enterprises to independently build, operate, and manage their own AI agents (including long-term complex task execution supported by built-in memory mechanisms and team collaboration capabilities); (iii) computing power sales, including providing high-performance graphics processor (GPU) computing clusters for building and training AI models, rendering and inference computing power to run AI-generated content, and computing power leasing, usually combined with supporting technical consulting services; (iv) Providing data services, including physical AI data collection solutions and AI End-to-end data processing and labeling for applications and robots, such as processing 3D point cloud data required for Level 3 autonomous driving systems, providing wearable data acquisition solutions for leading robotics companies and automated quality report analysis in industrial manufacturing; and (v) hardware development, including AI chips, physical AI and robots, and training hardware equipment.

The director believes that the acquisition is a strategic move for the Group to expand its existing IT solutions and infrastructure business into the rapidly growing AI industry. This will also enable the Group to establish a more comprehensive and integrated solution platform covering AI infrastructure, computing power, data processing, AI applications and end user deployment, so as to seize the opportunities brought by the demand for intelligent transformation and AI-enabled operation solutions. By combining the Group's experience in IT product procurement, infrastructure deployment, system integration and enterprise implementation with the target group's network, expertise and infrastructure, the Group is expected to deepen its business layout in the AI field.

The directors believe that the acquisition will accelerate the commercialization and market application of the target group's AI technology, strengthen the Group's competitiveness in the IT infrastructure and AI solutions market, enhance the Group's long-term growth prospects and diversify its revenue sources, and is expected to enhance the Group's overall business performance. Therefore, the directors believe that the acquisition is in line with the Group's business development strategy and is in line with the overall interests of the company and its shareholders.
