Vertiv Holdings Co (NYSE:VRT) on Wednesday said its wholly owned subsidiary plans to acquire Utility Innovation Holdings.
The consideration includes approximately $1.45 billion in cash at closing, plus up to $1.15 billion based on EBITDA targets over 12- and 24-month periods.
The upfront price represents about 13x expected UIG 2027 EBITDA, with a significantly lower multiple if the full earnout is paid.
Vertiv expects the deal to be accretive to adjusted EPS in the first year after completion.
The transaction is expected to close in the fourth quarter of 2026, subject to regulatory approvals and customary closing conditions.
Vertiv ended the quarter with $5.6 billion in liquidity and a net cash position.
Strategically, the acquisition expands Vertiv upstream to the grid interconnect, adding microgrid controls, onsite generation and energy-storage orchestration, and behind-the-meter power architecture to help data centers secure power faster as grid constraints increasingly limit AI infrastructure deployment.
VRT is trading about 5.9% below its 20-day SMA ($269.57) and about 10.8% below its 50-day SMA ($284.51), which keeps the intermediate trend under pressure even with today’s bounce. The stock is also sitting right on its long-term line—about 1% below the 200-day SMA ($256.33)—making the $250 to $257 area a key "line in the sand" for trend followers.
MACD is the cleaner momentum lens here: it’s below its signal line with a negative histogram, which suggests upside pressure is cooling unless buyers can build follow-through. In plain English, when MACD sits under its signal line, momentum is fading versus the recent baseline, and rallies tend to need stronger catalysts to extend.
Looking further out, the next major catalyst for the stock arrives with the October 21, 2026 (estimated) earnings report.

Below is the Benzinga Edge scorecard for Vertiv Holdings, highlighting its strengths and weaknesses compared to the broader market:
The Verdict: Vertiv Holdings’s Benzinga Edge signal reveals a classic High-Flyer setup, with elite Growth and Quality scores and strong Momentum, but a very weak Value profile. For longer-term bulls, that usually means pullbacks and support levels matter more, because premium multiples can amplify both upside follow-through and downside air pockets.
Significance: Because VRT carries such a heavy weight in these funds, any significant inflows or outflows for these ETFs will likely force automatic buying or selling of the stock.
VRT Stock Price Activity: Vertiv Holdings shares were up 0.92% at $258.33 at the time of publication on Wednesday, according to Benzinga Pro data.
