On September 2, local time, the management committee and supervisory board of the German takeaway platform Delivery Hero issued a joint statement, unanimously supporting the takeover offer proposed by Uber and recommending that shareholders accept it. Both parties believe that the cash purchase price of €41.50 per share is fair and reasonable, which is a premium of about 127% over the volume-weighted average share price for the three months before May 8. Uber currently holds about 24.77% of Delivery Hero's shares and holds 11.74% of the economic interest through related financial instruments. At the same time, it has obtained an irrevocable promise and will acquire another 16.68% of the shares, making its economic equity more than 53%. The minimum acceptance threshold for the offer is 50% plus 1 share. The acceptance period will end at 24:00 on November 5. The transaction is expected to be completed in the second half of 2027, and antitrust and other regulatory approvals are still required.
