The legacy corporation has been merged into a new Oklahoma limited liability company, ONEOK, L.L.C., under a new holding entity that is now called ONEOK, Inc. All existing notes are being assumed by ONEOK, L.L.C., with guarantees from ONEOK, Inc. This concentrates borrowing at the operating tier while keeping shareholder exposure at the parent level.
The amended certificate of incorporation and bylaws largely match the prior documents, aside from changes permitted under Oklahoma law. A new provision requires that any OpCo action needing member approval must get the same stockholder vote at ONEOK that would have applied to legacy ONEOK. As a result, equity holders retain a direct say in key operating company decisions.
