Yuansu Technology (08637): Termination of the Consensual Action Confirmation Agreement

The Company was informed by concerted actors that they had signed a termination agreement on September 17, 2026 to terminate the Consensual Action Confirmation Agreement (Termination Deed). After the unanimous action confirmation agreement is terminated (terminated), the concerted action agreement is no longer bound by the concerted action confirmation agreement and the consistent action arrangements under it.

Following the listing until termination, Dato' Sri Choi, SGP Capital Holdings Limited (SGP BVI, a company wholly owned by Dato' Seri Choi), and Baccini Capital Holdings Limited (Baccini, a company wholly owned by Tsai Tsai) were each treated as our controlling shareholders. Despite the termination, Dato' Seri Choi and Chaitai are treated as a group of controlling shareholders due to their spousal relationship, so the controlling shareholders of the Company remain unchanged in accordance with the Takeover Code.
