STERLING GP (01825): TERMINATION OF PLACING AGREEMENT

According to Zhitong Finance App, STERLING GP (01825) issued an announcement. On September 18, 2026 (after the end of the trading period), due to recent major changes in market conditions, the placement agent has notified the Company in writing to terminate the placement agreement in accordance with the terms of the placement agreement, which will take effect immediately. Upon termination of the placement agreement, all rights, obligations and responsibilities of the contracting party to the placement agreement will cease, and no contracting party shall make any claim against the other party regarding any matter or matter arising out of or relating to the placement agreement, except in connection with the termination claim.

The Company believes that the termination of the placement agreement and the placement matters to be carried out under it has no significant adverse effect on the Group's business operations and financial situation.
