Usually, when one insider buys stock, it might not be a monumental event. But when multiple insiders are buying like they did in the case of IC Group Holdings Inc. (CVE:ICGH), that sends out a positive message to the company's shareholders.
Although we don't think shareholders should simply follow insider transactions, we would consider it foolish to ignore insider transactions altogether.
In the last twelve months, the biggest single purchase by an insider was when Independent Director Robert White bought CA$200k worth of shares at a price of CA$0.50 per share. That means that an insider was happy to buy shares at above the current price of CA$0.49. It's very possible they regret the purchase, but it's more likely they are bullish about the company. In our view, the price an insider pays for shares is very important. Generally speaking, it catches our eye when insiders have purchased shares at above current prices, as it suggests they believed the shares were worth buying, even at a higher price.
Happily, we note that in the last year insiders paid CA$625k for 1.25m shares. But they sold 558.84k shares for CA$252k. In total, IC Group Holdings insiders bought more than they sold over the last year. The chart below shows insider transactions (by companies and individuals) over the last year. The last three months saw significant insider selling at IC Group Holdings. In total, Senior Vice President of Product & Solutions Sunil Bridgelall dumped CA$161k worth of shares in that time, and we didn't record any purchases whatsoever. Overall this makes us a bit cautious, but it's not the be all and end all.
I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. IC Group Holdings insiders own about CA$11m worth of shares (which is 64% of the company). I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.
An insider hasn't bought IC Group Holdings stock in the last three months, but there was some selling. On the other hand, the insider transactions over the last year are encouraging. We are also comforted by the high levels of insider ownership. So the recent selling doesn't worry us. While it's good to be aware of what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision.
