FedEx Consortium Declares Takeover Offer for InPost Unconditional

02:25 AM EDT, 09/23/2026 (MT Newswires) -- The consortium of Advent International, FedEx, A&R Investments and PPF Group declared its takeover proposal for e-commerce logistics company InPost (INPST.AS) unconditional, as all offer conditions have been met. InPost shareholders tendered 448,981,978 shares, representing 89.81% of its issued and outstanding share capital as of the offer period closing on Sept. 18, according to a Wednesday release. Shareholders who tendered their shares will receive 15.60 euros per share, including the dividend. Settlement is scheduled for Sept. 30. The consortium will also initiate a post-acceptance period, open from Sept. 24 until Oct. 7. InPost secured conditional approval from Euronext Amsterdam to delist its shares on Oct. 23, subject to the offeror holding at least 95% of its shares after the post-acceptance period, in which the final trading day will be Oct. 22. If the offeror holds less than 95% of the shares, the listing will be terminated as soon as possible in line with the post-closing demerger and liquidation process.
