Disciplinary Action Against a Member Company Following an inspection of Finansia Syrus Securities Public Company Limited (the "Company") conducted by The Stock Exchange of Thailand ("SET") during July - August 2025, SET found that the Company had entered short sale orders that did not comply with the short selling rules prescribed by SET, whereby the Company: (1) entered short sale orders without identifying them as short sales (i.e., without a Flag S sign); and (2) entered short sale orders that were not offered at a price higher than the last trading price (i.e., not at an Uptick price). SET considered the matter and was of the opinion that the Company's above actions amounted to violations of, or failures to comply with, Clause 17(1) of the SET Regulations Re: Membership Rules, B.E. 2544 (2001), in conjunction with Clauses 5 and 6 of the SET Regulations Re: Short Selling in the Exchange, B.E. 2544 (2001), and Clause 15 of the Practice Guideline on Trading, Clearing and Settlement of Securities in the Exchange. However, since only a limited number of such transactions were involved, the violations of the Company in this case had no impact on investors or on the trading conditions of securities. Therefore, SET, by the Disciplinary Sub-Committee, resolved to take disciplinary action against the Company by imposing a fine in the total amount of THB 150,000 (One Hundred Fifty Thousand Baht). In this regard, SET has already reported the details of the disciplinary action against the Company to the Office of the Securities and Exchange Commission for consideration and further action within its authority. 25 September 2026 ______________________________________________________________________
