Yichen Group (08365) completed the acquisition of 51% of Hengrui Group's shares

Regarding the acquisition of 51% of Hengrui Group Co., Ltd., all prerequisites under the agreement have been fulfilled, and the completion was implemented on October 2, 2026 in accordance with the terms and conditions of the agreement. After completion, the company has an interest in 51% of the target company's shares, so the target company becomes a direct non-wholly-owned subsidiary of the company, and the target company's financial results will be comprehensively recorded in the group's accounts.

According to the agreement, the company allotted and issued 10 million compensation shares to the seller at an issue price of HK$1.00 per share, accounting for about 4.79% of the total number of shares already issued after the allotment and issuance of consideration shares.
