NN Insiders Made A Wise Decision By Selling US$3.9m Worth Of Stock

Listen to the news

Despite a 23% gain in NN, Inc.'s (NASDAQ:NNBR) stock price this week, shareholders shouldn't let up. The fact that insiders chose to dispose of US$3.9m worth of stock in the past 12 months even though prices were relatively low could be indicative of some anticipated weakness.

Although we don't think shareholders should simply follow insider transactions, we would consider it foolish to ignore insider transactions altogether.

The Last 12 Months Of Insider Transactions At NN

The insider, John Barrett, made the biggest insider sale in the last 12 months. That single transaction was for US$3.9m worth of shares at a price of US$2.69 each. So it's clear an insider wanted to take some cash off the table, even below the current price of US$4.51. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. This single sale was just 26% of John Barrett's stake. John Barrett was the only individual insider to sell shares in the last twelve months.

Insider Ownership

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. I reckon it's a good sign if insiders own a significant number of shares in the company. NN insiders own about US$33m worth of shares. That equates to 11% of the company. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.

What Might The Insider Transactions At NN Tell Us?

There haven't been any insider transactions in the last three months -- that doesn't mean much. We don't take much encouragement from the transactions by NN insiders. But we do like the fact that insiders own a fair chunk of the company. In addition to knowing about insider transactions going on, it's beneficial to identify the risks facing NN.
