Flex Amends Warrant With Amazon To Purchase 3,859,851 Shares At $51.29 Per Share

On October 9, 2026, Flex Ltd. (the "Company" or "Flex") and Amazon.com NV Investment Holdings LLC (the "Warrantholder") and Amazon.com Services LLC (the "Assignee"), wholly-owned subsidiaries of Amazon.com, Inc. (the "Parent"), entered into an amendment (the "Warrant Amendment") to that certain Warrant to Purchase Ordinary Shares (the "Existing Warrant" and, as amended by the Warrant Amendment, the "Amended Warrant"), dated August 15, 2025, to purchase up to an aggregate of 3,859,851 ordinary shares of the Company (the "Warrant Shares") at an exercise price of $51.29 per share. The Existing Warrant was issued pursuant to a Transaction Agreement, dated as of August 15, 2025 (the "Transaction Agreement") between the Company and the Parent.
