MRVL Stock Sinks as Marvell Technology Reportedly Considers Acquiring Lumentum

Listen to the news

Marvell Technology (MRVL) shares opened notably lower on Thursday following reports that the chipmaker is in advanced talks to acquire optical-components specialist Lumentum (LITE). An agreement could emerge as soon as next week, with the transaction set to meaningfully expand MRVL’s exposure to the technology connecting artificial intelligence (AI) infrastructure.

Despite today’s dip, however, Marvell stock is trading at more than 1.5x its price at the start of this year.

What Triggered the Selloff in Marvell Stock Today

One explanation for today’s decline in MRVL shares is the financing burden. Heading into Oct. 29, Lumentum had a market cap of roughly $83 billion, compared with less than $4 billion in cash at the end of its latest reported quarter.

This means the custom AI chips specialist will likely have to issue new stock or tap the debt market to fund this transaction; the former will dilute existing investors and the latter will introduce interest costs. And it’s fair to assume that successfully acquiring Lumentum will require Marvell to pay a meaningful premium, which would further raise the financial burden.

In short, strategic benefits alone are insufficient to establish that acquiring Lumentum would create value. Without a disclosed purchase price, funding structure, and synergy targets, shareholders can’t yet determine whether the potential rewards justify the commitment.

Piper Sandler Recommends Buying MRVL Shares

Piper Sandler analysts nonetheless reiterated their “Overweight” rating on Marvell shares today, with a $400 price target indicating significant upside potential. The investment firm highlighted optical networking’s growing importance in accelerating AI data transfers while reducing power consumption, identifying Lumentum’s high-powered lasers as an enabling technology.

The strategic opportunity is to address more of the connectivity demands created by increasingly powerful AI systems, analysts told clients, adding that the two companies already showcased complementary optical technologies earlier this year, targeting faster, more energy-efficient networks.

Barchart also currently holds a “40% BUY” average opinion on MRVL, indicating technical momentum is also in its favor for the near term.

Wall Street Remains Bullish on Marvell Technology

Other Wall Street firms seem to agree with Piper Sandler’s bullish view on Marvell Technology as well. The consensus rating on MRVL stock sits at “Strong Buy,” with the mean price target of about $337 indicating potential upside of more than 50% from here.
