"Cemtrex Announces $2M Registered Direct Offering Of 888,889 Shares And/ Or Pre-Funded Warrants At A Price Of $2.25/Share

Cemtrex, Inc. (NASDAQ:CETX) (the "Company"), an advanced security technology and industrial services company, today announced that it has entered into a definitive agreement for the purchase of approximately 888,889 shares and / or pre funded warrants with a single institutional investor, at a purchase price of $2.25 per share, with gross proceeds to the Company expected to be $2 million to the Company. 

The transaction is expected to close on or about Dec 30, 2025, subject to the satisfaction of customary closing conditions. The Company expects to use the net proceeds from the offering, for general corporate purposes, including working capital and potential acquisitions.
